This document is an electronic record in terms of the Information Technology Act, 2000 and the rules made thereunder, as applicable, and the provisions pertaining to electronic records in various statutes, as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which mandate the publication of the rules and regulations, privacy policy, and Terms of Use for access or usage of the mobile application (referred to as the “Platform”).

This Agreement ("Agreement") governs the terms and conditions for your use of the GO DINDIN Application ("Application"), a platform developed and provided by LEMOLITE TECHNOLOGIES LLP, a company incorporated under the laws of India, having its registered office at Ahmedabad, Gujarat. The mobile application is a social media featured and marketplace platform offering various features and functionalities.

By using the Application, you agree to be bound by this Agreement. LEMOLITE TECHNOLOGIES LLP reserves the right to modify these terms at any time. This document, including the policies referenced herein, constitutes a legally binding agreement ("Agreement") between you ("User" or "You") and LEMOLITE TECHNOLOGIES LLP (“We”, “Us”, “Ours”). By accessing, Browse, downloading, installing, or using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). Any changes will become effective upon being posted to the Application. It is your responsibility to review the Agreement periodically, as your continued use of the Services following any modification constitutes your acceptance of the updated terms. If you do not agree to the terms, you must cease using the Application immediately.

This Agreement applies to all Users of the Application, including without limitation, users who are browsers, vendors, customers, merchants, and/or contributors of content. GO DINDIN in connection with any of the services those (collectively the “Services “) is governed by these terms & Conditions (the "Terms")

1. DEFINITIONS

  • “Application” Refers to the "GO DINDIN" mobile application and any related websites, platforms, or services.
  • “Company” refers to LEMOLITE TECHNOLOGIES LLP.
  • “User” Any person who accesses or uses the Application, including buyers and sellers.
  • “Seller” A User who lists, offers for sale, and sells products or services through the Application.
  • “Buyer” A User who purchases or agrees to purchase products or services through the Application.
  • “Services” All services, features, and functionalities offered by the Application, including acting as a platform for buyers and sellers to connect.
  • “Content” All data, information, text, images, videos, audio, or any other materials uploaded, posted, or displayed on the Application by Users or Us.
  • “Products” refers to the products or items offered for sale on the application.
  • “Orders” means a request by You to purchase Products from Us.
  • “Promotions” refer to contests, sweepstakes or other promotions offered through the Service.
  • “Personal Data” any information that directly, indirectly, or in connection with other information — including a personal identification number — allows for the identification or identity of a natural person.
  • “Third-party service” Refers to advertisers, contest sponsors, promotional and marketing partners, payment gateways and other who provide our content or whose products or services we think may interest you.

2. ELIGIBILITY

  • You represent and warrant that you are at least eighteen (18) years of age and fully competent to enter into a legally binding agreement under the Indian Contract Act, 1872. If you are under the age of eighteen (18), you may use the Application only with the involvement, consent, and supervision of a parent or legal guardian.

3. SERVICES OFFERED

  • Go DinDin provides a range of internet-based services through its mobile. One such service enables users (“Users” or “You”) to purchase and sell merchandise including, but not limited to, clothing, footwear, accessories, and other fashion and lifestyle products (collectively, the “Products”) from various third-party brands listed on the Platform.
  • Users may purchase the Products via multiple payment methods made available on the Platform. All purchases and sales of Products shall be governed, in addition to these Terms of Use, by applicable policies of Go DinDin, including but not limited to its cancellation policy, return policy, exchange policy, and any other policy displayed or linked through the FAQs or relevant sections of the Platform (collectively, the “Policies”), all of which are incorporated herein by reference.
  • Go DinDin does not warrant that the Product descriptions, pricing, availability, or any other content or information provided on the Platform is accurate, complete, reliable, current, or free of errors. Go DinDin expressly disclaims any and all liability arising out of any inaccuracies, misrepresentations, or omissions in relation to the foregoing.

4. REGISTRATION OF YOUR ACCOUNT

  • In order to use the Platform and/or avail the Services offered therein, you are required to complete a one-time registration process. Registration is free of charge and is mandatory for accessing certain features and functionalities of the Platform.
  • Register by creating an account: by providing the relevant information for the creation of your account on Go DinDin and after filling in the necessary forms and providing the necessary details as may be required by us at the time of your registration. Following this, an account will be created on the platform.
  • You are solely authorized to operate the account created by you on the Platform. Accordingly, you are responsible for maintaining the confidentiality of your login credentials and for restricting access to your device(s) to prevent unauthorized access to your account. You shall be solely liable for all activities carried out through your account, whether authorized by you or not.
  • You agree to: (a) ensure that you properly log out from your account at the end of each session. (b) If you know or have reasons to believe that the security of your account has been breached, you should contact us immediately at the 'Contact Information' provided below. If we have found a breach or suspected breach of the security of your account, we may require you to change your password, temporarily or permanently block or suspend your account without any liability to Go DinDin.
  • LEMOLITE TECHNOLOGIES LLP, along with our officers, directors, employees, and agents, shall not be held liable for any loss or damage—whether direct or indirect—arising from your failure to comply with these Terms of Use. You may also be held liable for any losses suffered by us or any other user due to unauthorized use of their account by you.
  • We reserve the right to, at our sole discretion and without prior notice, deny access to the Platform, terminate accounts, or remove or modify content.
  • In order to enhance user security, protect individual privacy, and safeguard sensitive information from potential risks, Go DinDin reserves the right, at its sole and absolute discretion, to monitor, restrict, or moderate the association of multiple user accounts with a single device or the use of a single user account across multiple devices, in connection with the use of the Go DinDin application.
  • The mobile phone number registered by you shall constitute your primary identifier on the Platform. You acknowledge and agree that it is your sole responsibility to ensure that your registered mobile number and e-mail address are accurate, valid, and kept up to date on the Platform at all times. You further undertake to promptly update any changes to your registered contact details by completing the prescribed verification procedures, including, but not limited to, OTP-based authentication.
  • Go DinDin shall not, under any circumstances, be held liable for any loss, damage, or other consequences arising from the use or misuse of your Account, including but not limited to instances where such use or misuse is attributable to your failure to duly update your mobile phone number and/or e-mail address on the Platform. You agree and undertake to immediately notify Go DinDin of any actual or suspected unauthorized access to, or breach of, your Account or password.

5. ROLE AS AN INTERMEDIARY

  • Go DinDin operates solely as an intermediary and facilitator, providing a technology-enabled Platform that connects users (“Users” or “You”) with independent third-party sellers and brands (“Sellers”) for the purchase of Products or services. Go DinDin does not manufacture, stock, own, sell, or control the Products or services listed on the Platform. The actual contract for sale of Products or provision of services is directly between the User and the Seller.
  • By availing yourself of the facilitation services provided by Go DinDin, you expressly acknowledge and agree to the following: Independent Relationship with Sellers: Any issues, complaints, claims, or disputes arising out of or in connection with the purchase, delivery, use, or performance of any Product or service shall be solely and exclusively between you and the respective Seller. Go DinDin shall not, in any manner, be a party to such disputes.
  • No Endorsement or Warranty: Go DinDin does not endorse, guarantee, warrant, or assume any responsibility for any Products or services offered by Sellers on the Platform, nor for the actions, omissions, or conduct of any Seller. Go DinDin disclaims any and all liability in this regard.
  • Disclaimer of Representations: Go DinDin makes no representations or warranties of any kind, express or implied, regarding the Products or services offered by Sellers, including, without limitation, any warranty as to merchantability, fitness for a particular purpose, quality, durability, reliability, availability, legality, or compliance with applicable laws and regulations.
  • Data Sharing with Sellers: By using the Platform, you consent to the disclosure of your name and contact details to the relevant Seller or brand, strictly for the purpose of facilitating the sale, delivery, or provision of Products or services. You may also be required to share certain additional personal information directly with the Seller. Go DinDin shall not be responsible or liable for the collection, use, storage, or handling of such additional personal data by any Seller or brand, and you acknowledge that such data sharing is necessary for the fulfilment of your order or service.

6. CONTENT

  • All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music and artwork (collectively, "Content"), is a third-party user generated content and Go Go DinDin has no control over such third-party user generated content as Go DinDin is merely an intermediary for the purposes of this Terms of Use. You grant Us the worldwide, perpetual and transferable rights in such Content. We shall be entitled to, consistent with Our Privacy Policy as adopted in accordance with applicable law, use the Content or any of its elements for any type of use forever, including but not limited to promotional and advertising purposes and in any media whether now known or hereafter devised, including the creation of derivative works that may include the Content You provide.
  • All content you transmit, upload, post, or otherwise make available on Go DinDin (“User Content”) is solely your responsibility. You agree not to post or share any material that: (i) you do not own or have rights to; (ii) is unlawful, defamatory, obscene, pornographic, harmful to minors, or otherwise objectionable; (iii) infringes intellectual property or other proprietary rights; (iv) contains viruses or malicious code; or (v) threatens the security, integrity, or sovereignty of India.
  • Go DinDin does not endorse, control, or guarantee the accuracy of User Content and disclaims all liability for it. You waive any claims against Go DinDin arising from such content. Go DinDin reserves the right, at its sole discretion and without notice, to remove or restrict any User Content that violates these Terms or applicable law and to suspend or terminate accounts for such violations. Go DinDin reserves the right to modify the terms and conditions at any time, without prior notice.

7. ORDER PLACED

  • The Go DinDin Application enables Users to place orders for products listed by Sellers on the Platform. Subject to the terms of this Agreement, Go DinDin facilitates the placement of such orders by Users. Upon receipt of an order from a User, Go DinDin shall electronically transmit an order confirmation to both the Seller and the User. Go DinDin may further notify the User regarding the availability, unavailability, or price change of the ordered products as communicated by the Seller from time to time. Confirmation of the order by the Seller shall be deemed final and binding.
  • Go DinDin does not own, sell, or resell any products in its own capacity, nor does it control the Sellers. It operates solely as an online marketplace facilitating transactions between Users and Sellers. While Go DinDin makes reasonable efforts to update User accounts and related information to enable the completion of transactions, Users are solely responsible for providing current, complete, and accurate purchase and account details for all transactions made on the Application.
  • Where a Reseller fulfils orders to its end users/consumers, such fulfilment shall be the sole responsibility of the Reseller in relation to such end users/consumers. Any additional service provided by Go DinDin in respect of such orders shall be rendered solely in the capacity of a service provider to the Reseller, and Go DinDin shall have no privity of contract or liability towards such end users/consumers.

8. PRIVACY PRACTICES

  • We are committed to safeguarding your personal information and have adopted a Privacy Policy to ensure adequate protection. In addition to these Terms of Use, the Privacy Policy governs your access to and use of the Site. By continuing to use the Site, you acknowledge that you have read, understood, and agreed to be bound by the Privacy Policy, as amended from time to time at our sole discretion, and consent to the collection, use, and processing of your personal information in accordance with its terms.

9. PAYMENT

  • Payments for the products available on the Site may be made in the following ways: Payments can be made by Credit Cards, Debit Cards, Net Banking, Wallets, UPI.
  • Credit card, Debit Card and Net Banking payment options are instant payment options and recommended to ensure faster processing of your order.
  • While availing any of the payment method/s available on the Website, we will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to You due to: 1. Lack of authorization for any transaction/s, or 2. Exceeding the preset limit mutually agreed by You and between "Bank/s", or 3. Any payment issues arising out of the transaction, or 4. Decline of transaction for any other reason/s
  • All payments made against the purchases/services on Website by you shall be compulsorily in Indian Rupees acceptable in the Republic of India. Website will not facilitate transaction with respect to any other form of currency with respect to the purchases made on Website.

10. SELLER OBLIGATIONS

  • All prospective Sellers shall complete the Seller Registration Form and submit all requisite documents as prescribed by Go DinDin for verification. The Seller shall undergo a due diligence process conducted by the Go DinDin team, including but not limited to, verification of legal status, tax compliance, and business credentials. Only upon successful completion of the registration and due diligence process, and receipt of written confirmation from Go DinDin, shall the Seller be permitted to access the Seller Account and upload products for listing on the Platform.
  • As a registered seller, you are allowed to list item(s) for sale on the Application in accordance with the Policies which are incorporated by way of reference in this Terms of Use. You must be legally able to sell the item(s) you list for sale on our application. All Sellers registered on the Go DinDin Platform agree and undertake to comply with the following obligations, the breach of which shall constitute a material breach of their Agreement with Go DinDin:
  • Accurate Product Information: Provide complete, true, and non-misleading product descriptions, specifications, pricing, warranties, and stock availability.
  • Genuine & Compliant Products: List and sell only genuine products that comply with all applicable laws, safety standards, and quality/labelling requirements.
  • Prohibited Items: Refrain from listing counterfeit, prohibited, expired, defective, hazardous, or mislabelled goods.
  • Legal Compliance: Adhere to all applicable laws, including but not limited to: Consumer Protection Act, 2019, Legal Metrology Act 2009, Information Technology Act, 2000, Intellectual Property Laws and Goods and Services Tax (GST) laws.
  • Order Fulfilment: Process and dispatch orders within prescribed timelines and ensure prices are inclusive of all applicable taxes unless expressly stated otherwise.
  • After-Sales Obligations: Honour warranties, process returns and refunds in accordance with Go DinDin’s policies.
  • No Manipulation or Misconduct: Avoid manipulating ratings/reviews, inducing off-platform transactions, or engaging in unfair trade practices.
  • Intellectual Property: Ensure that product listings do not infringe any third-party intellectual property rights. You agree that the rights granted above are irrevocable during the entire period of protection of your intellectual property rights associated with such content and material. You agree to waive your right to be identified as the author of such content and your right to object to derogatory treatment of such content. You agree to perform all further acts necessary to perfect any of the above rights granted by you to Go DinDin, including the execution of deeds and documents, at its request.
  • Enforcement Measures: Acknowledge that Go DinDin may audit, suspend, delist products, withhold payments, or terminate accounts in case of violations.
  • Indemnity: Indemnify and hold harmless Go DinDin, its affiliates, and officers from any claims, losses, damages, penalties, or legal costs arising out of breach of these obligations or any applicable law.
  • Since Go DinDin lists numerous products and brands for sale offered by various vendors and sellers on its Platform, it is not possible for us to be aware of the contents of each product listed for sale, or each comment or review that is displayed or state confidence to its accuracy and authenticity. You shall be solely responsible for the content of your Products.
  • Go DinDin does not warrant that product description or other content on the Platform is accurate, complete, reliable, current, or error-free and assumes no responsibility and liability in this regard. Go DinDin shall bear no responsibility or any regulatory liability in relation products listed and the contents therein.
  • All terms and conditions governing the use of the Go DinDin Platform, as published and updated from time to time, shall be binding upon the Seller in addition to the specific terms, covenants, and obligations set forth in the Seller Agreement executed between the Seller and Go DinDin. In the event of any inconsistency between these Terms and the Seller Agreement, the provisions of the Seller Agreement shall prevail to the extent of such inconsistency, unless otherwise expressly agreed in writing by Go DinDin

11. PRICING AND PAYMENT

  • The Platform displays the availability status and pricing information of Products on their respective product display pages.
  • Unless expressly stated otherwise, all prices indicated on the Platform are inclusive of applicable taxes, including but not limited to Value Added Tax, Central Sales Tax, Goods and Services Tax, or any other statutory taxes or levies, as mandated under applicable law.
  • The Products placed in your shopping cart or wish list will reflect the most recent price displayed on the respective product display page. However, placing a Product in your shopping cart or wish list does not reserve or guarantee the price shown at that time. Product prices may fluctuate—either increasing or decreasing—between the time you place the Product in your cart or wish list and the time you complete your purchase. Products marked as “Out of Stock” are unavailable for purchase.
  • The price of a Product offered by a Seller on the Platform shall be either equal to or lower than the Maximum Retail Price (“MRP”) prescribed for that Product. The MRP and other mandatory statutory declarations shall be mentioned on the Product or its packaging in accordance with applicable laws. While Sellers may, at their discretion, also provide such information on the Platform, Go DinDin advises Users to independently verify the MRP and related statutory details if they so choose.
  • For transactions conducted through the Platform, Go DinDin shall, in accordance with these Terms, facilitate the processing of payments from the buyer and manage logistics support in such manner as it deems appropriate, solely for and on behalf of the Sellers. The Seller, or Go DinDin where applicable, shall arrange logistics for delivery of Products. In the case of large or bulky Products (including, without limitation, televisions, refrigerators, air conditioners, or other oversized items), the Seller or Go DinDin shall coordinate the delivery directly to the buyer.

12. CANCELLATION, RETURNS AND REFUND

13. SHIPPING AND DELIVERY

  • Please refer to our Shipping and Delivery Policy provided on our Site, as amended from time to time.

14. USER CONDUCT AND RULES OF THE PLATFORM

  • You irrevocably acknowledge, covenant, and agree that:
  • Prohibited Acts Relating to Software: You shall not, and you shall not permit, assist, solicit, procure, enable, encourage, or authorise any person, natural or juristic, to: (a) copy, reproduce, modify, adapt, translate, reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code of, or create derivative works from, the Platform or any software, applications, or components thereof, in whole or in part; (b) incorporate or merge any portion of the Platform software into any other program, system, or application, compile any portion of it in combination with any other program, or prepare any derivative work based thereon; or (c) sell, rent, lease, license, sublicense, assign, transfer, loan, pledge, encumber, distribute, or otherwise make the Platform software, in whole or in part, available to any third party in any manner whatsoever.
  • Interference and Tampering Prohibited: You shall not interfere with, tamper with, impair, damage, or otherwise disrupt, or attempt to interfere with or disrupt, the integrity, performance, operation, or functionality of the Platform, its systems, or any activity conducted thereon.
  • No Unauthorised Access: you shall not attempt to gain, or gain, any unauthorised access to:(a) any portion or feature of the Platform; (b) any software systems, servers, networks, databases, or infrastructure connected to or associated with the Platform; or (c) any services offered through the Platform, by means including, but not limited to, hacking, password mining, code injection, exploiting vulnerabilities, or any other unlawful, deceptive, or illegitimate means.
  • Lawful Use Only: You shall not utilise your Account, or the Platform, for any purpose which is illegal, unlawful, unauthorised, fraudulent, or prohibited under these Terms of Use, applicable laws, or public policy.
  • No Impediment to Other Users: You shall not interfere with, obstruct, impede, or otherwise adversely affect any other user’s lawful use of, or engagement with, the Platform.
  • Intellectual Property and Branding: You shall not use, copy, remove, obscure, alter, deface, or otherwise tamper with any copyright notice, trademark, service mark, logo, trade name, brand name, patent marking, or any other intellectual property right or proprietary designation appearing on, embedded within, or otherwise forming part of the Platform. You shall not use any meta tags, metadata, or other “hidden text” incorporating or utilising the trade names, service marks, or trademarks of Go DinDin or its affiliates without the prior written consent of Go DinDin.
  • Data Extraction and Mining: You shall not, whether manually, by automated tools, or otherwise, systematically extract, scrape, harvest, mine, copy, store, re-utilise, reproduce, or otherwise make use of any content, data, or information from the Platform, in whole or in part. Without limiting the generality of Clause 7.1, you shall not utilise any data mining, robots, spiders, crawlers, or similar data gathering or extraction tools to extract, whether once or repeatedly, any substantial part of the Platform.
  • Data Ownership and Restrictions: All data, statistics, analytics, and information provided to you through the Platform shall remain the sole and exclusive property of Go DinDin. (a) You shall not share, disseminate, transmit, reproduce, disclose, license, or otherwise make available such data, statistics, or information to any third party, in any form or by any means, without the prior written authorisation of Go DinDin. (b) Go DinDin shall have the absolute right, without restriction or limitation, to collect, store, retain, process, analyse, use, reproduce, and otherwise exploit any data or information provided by you through the Platform, and you shall raise no objection thereto. (c) You represent, warrant, and undertake that any and all data or information provided by you shall at all times be true, accurate, current, complete, reliable, and not misleading.
  • Prohibited Content: You shall not upload, post, transmit, send, distribute, or otherwise make available any content, material, or data that: (a) is illegal, unlawful, prohibited, offensive, obscene, indecent, sexually explicit, pornographic, defamatory, libellous, harassing, threatening, abusive, menacing, misleading, disparaging, invasive of privacy, discriminatory, hateful, or otherwise objectionable; (b) promotes or incites racism, bigotry, hatred, violence, or physical harm of any nature; (c) infringes or violates any intellectual property right, proprietary right, confidentiality obligation, or privacy right of any person; or (d) contains or consists of any malware, virus, worm, Trojan horse, ransomware, spyware, harmful code, political campaigning, commercial solicitation, chain letters, mass mailings, or “spam.”
  • Compliance with Applicable Laws: You shall not use the Platform, or any content or service thereon, for any purpose that is unlawful or prohibited by these Terms of Use, nor solicit the performance of any illegal activity or other activity which infringes the rights of Go DinDin and/or any third party. You shall at all times ensure strict compliance with all applicable laws, statutes, regulations, and rules, including, without limitation, the provisions of the Information Technology Act, 2000 and the rules framed thereunder, as amended from time to time, and any other applicable legislation

15. LICENSE TO USE YOUR CONTENT

  • You grant us a worldwide, perpetual, irrevocable, royalty-free, non-exclusive license to use, reproduce, adapt, publish, distribute, display, create derivative works from, and otherwise exploit, in any medium now known or hereafter devised, any content, feedback, comments, ideas, or suggestions you submit on the Platform, without further approval or consideration. You waive all claims over such content and agree to execute all documents necessary to perfect the rights granted herein. While we are not obligated to monitor user activity on the Platform, we reserve the right to do so. We may remove, restrict, or report to law enforcement any content or conduct we deem, in our sole discretion, unlawful, inappropriate, or in breach of these Terms. We will cooperate fully with law enforcement agencies as required. You are solely responsible for all activity conducted using your account credentials. Any unauthorized use or submission may violate applicable laws, including copyright, trademark, privacy, and communications laws. You agree to indemnify and hold harmless the Company, its affiliates, officers, directors, employees, agents, licensors, and partners from any claims, losses, liabilities, costs, or expenses (including legal fees) arising out of or in connection with your use of the Platform, your Submissions, or any misuse of your account. We may terminate or suspend your access to the Platform at any time, without notice, for any breach of these Terms. Upon termination, you must immediately cease all use of the Platform and destroy any downloaded or printed materials. Provisions that by their nature survive termination shall remain in full force and effect.

16. PLATFORM TRANSACTION & COMMUNICATION

  • The Platform serves solely as a venue for Users to connect and engage in transactions. We are not, and cannot be, a party to or exercise control over any transaction between Buyers and Sellers. All commercial and contractual terms—including but not limited to price, payment, delivery, warranties, and after-sales service—are agreed upon solely between Buyers and Sellers, without our involvement, control, or recommendation.
  • We make no representation or warranty regarding the quality, value, or suitability of any product or service listed or transacted on the Platform and shall not be liable for any non-performance, breach, or failure to fulfil obligations under contracts between Buyers and Sellers. At no time shall we hold any right, title, or interest in the products, nor have any obligations or liabilities arising from such contracts.
  • The Platform is provided as a communication channel only. We are not responsible for delays, unavailability, stock issues, back orders, or inaccurate product listings, including pricing errors caused by technical or typographical issues, and Sellers reserve the right to cancel such orders.
  • You hereby release and indemnify us, our officers, and representatives from any claims, liabilities, or damages arising from the acts, omissions, or information provided by other Users. We cannot guarantee, and are not responsible for, the accuracy, completeness, or reliability of User-generated content on the Platform.

17. WAIVER

  • No provision of these Terms shall be deemed waived, nor any breach excused, unless such waiver or consent is in writing and signed by Go DinDin. Any waiver or consent given shall apply only to the specific instance for which it is given and shall not constitute a waiver or excuse for any different or subsequent breach.

18. SEVERABILITY

19. FORCE MAJEUR

  • Go DinDin shall not be liable for any failure or delay in performance, or for any loss or damage suffered by you, due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, strikes, governmental actions, utility failures, or technological disruptions such as hacking, system failures, or security breaches. In such cases, Go DinDin’s obligations shall be suspended for the duration of the Force Majeure Event and resume as soon as practicable thereafter.

20. LIMITATION OF LIABILITY

  • In no event shall Go DinDin, including its affiliates, associates, and their respective owners, directors, officers, agents, shareholders, and partners, be liable for any loss or damage of any kind, including without limitation direct, indirect, punitive, incidental, consequential, or special damages, lost profits, or damages arising from or related to the use or inability to use the Application, whether based on warranty, contract, tort (including negligence), or any other legal theory. You acknowledge that Go DinDin acts solely as an “intermediary” as defined under the Information Technology Act, 2000 and applicable rules, between you and the seller, and shall not be liable for any act or omission of any seller or third-party service provider.

21. USER WARRANTY

  • You acknowledge and undertake that you are accessing and using the Services on the Platform and transacting at your sole risk, exercising your own prudent and independent judgment before entering into any transaction through the Platform. Go DinDin shall neither be liable nor responsible for any acts, omissions, representations, warranties, or breaches by any seller, manufacturer, or third party, and hereby expressly disclaims any and all responsibility and liability in this regard. Go DinDin shall not mediate or resolve any dispute or disagreement between you and any seller or manufacturer. We expressly disclaim all warranties, whether express or implied, with respect to any product or content (including without limitation, product descriptions, pricing, specifications, quality, suitability, accuracy, reliability, completeness, timeliness, performance, safety, merchantability, fitness for a particular purpose, or legality) displayed, listed, or transacted through the Platform. While Go DinDin takes reasonable measures to avoid inaccuracies, the Platform, including all content, information (including prices), software, products, services, and related graphics, is provided on an “as is” basis without warranty of any kind. At no time shall any right, title, or interest in any products sold through or displayed on the Platform vest with Go DinDin, nor shall Go DinDin have any obligations or liabilities in respect of any such transactions.

22. INDEMNIFICATION

  • You hereby agree to defend, indemnify, and hold harmless Go DinDin, its parent entity, subsidiaries, affiliates, joint venture partners, licensors, and their respective past, present, and future directors, officers, employees, agents, representatives, successors, and permitted assigns (collectively, “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, suits, liabilities, damages, losses, judgments, penalties, fines, costs, and expenses (including, without limitation, reasonable attorneys’ fees and costs of litigation) arising out of, relating to, or in connection with:(a) any act, omission, misrepresentation, or breach by you of any covenant, obligation, warranty, representation, or undertaking set forth in these Terms of Use;(b) your violation, contravention, or non-compliance with any applicable law, statute, regulation, rule, order, notification, or other legal requirement, including without limitation laws relating to intellectual property rights, data protection, consumer protection, and payment of statutory dues and taxes; (c) any claim that your acts or omissions have caused loss, damage, injury, or harm to any third party, including without limitation claims of libel, defamation, invasion of privacy, violation of publicity rights, infringement or misappropriation of intellectual property rights, or other proprietary rights; (d) any loss of service suffered by other users of the Platform due to your acts or omissions; and (e) any unauthorised, improper, or unlawful use by you of the Platform or any of its content, products, or services.
  • Your indemnification obligations hereunder shall: (i) be in addition to, and not in lieu of, any other remedies available to the Indemnified Parties under law or equity; (ii) extend to all consequences, whether direct, indirect, incidental, or consequential, that may be suffered or incurred by the Indemnified Parties; and (iii) survive the expiration, termination, or suspension of these Terms of Use, your account, or your access to the Platform, for any reason whatsoever.

23. APPLICABLE LAW

  • By accessing or using this Application, you agree that these Terms and your relationship with Go DinDin shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms or the Go DinDin Platform shall be subject to the exclusive jurisdiction of the courts at Ahmedabad, Gujarat. All such disputes shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 2021, as amended, under the auspices of the Indian Council of Arbitration, New Delhi. The arbitration shall be conducted in English, and the arbitral award shall be final and binding on the parties. Judgment on the award may be entered and enforced in any court of competent jurisdiction.

24. INTELLECTUAL PROPERTY RIGHTS

  • The names, logos, design marks, slogans, and all related product or service names, including without limitation "Go DinDin" (collectively, the “Marks”), are trademarks or service marks of Go DinDin and/or its affiliates. All other marks displayed on the Platform are the property of their respective owners. No license or right to use any Mark is granted by virtue of your access to or use of the Platform, and any unauthorized use is strictly prohibited.
  • Go DinDin, along with its suppliers and licensors, exclusively reserves all intellectual property rights in the Platform, including but not limited to all text, designs, compilations, content, software, programs, processes, technology, and other materials, as well as the look and feel of the Platform. All such materials are protected under applicable Indian copyright laws and international treaties. Except for your limited, personal, non-commercial use, no material from the Platform may be copied, reproduced, republished, downloaded, posted, transmitted, distributed, modified, displayed, performed, or otherwise exploited in whole or in part, without prior written consent of Go DinDin.
  • You are granted a limited, revocable, non-exclusive, non-transferable license to use the Platform and its content solely as a shopping resource for personal, non-commercial purposes. All rights not expressly granted herein are reserved by Go DinDin. Any unauthorized use of the Platform or its content will constitute a violation of these Terms and applicable laws.

25. CHARGES

  • The Processing Fee, which shall be inclusive of Goods and Services Tax (“GST”) unless expressly stated otherwise, shall be universally applicable to all customers of Go DinDin and shall comprise, without limitation, the Platform Fee, Shipping Fee, and Packaging Fee. The Platform Fee is levied by Go DinDin for the provision of platform-related services, which include, but are not limited to, granting Users access to the Platform and its features, facilitating brand liaison, providing comprehensive customer support, and ensuring the smooth and continuous operation of the Platform to enhance the User experience. Shipping Fees may vary depending on multiple factors, including the delivery location, the location of the seller, and the nature or category of the product purchased. Delivery charges may differ for various pin codes and may also vary in accordance with the type, size, weight, or handling requirements of the product. Go DinDin reserves the right, at its sole discretion, to revise, modify, or waive the Processing Fee, in whole or in part, from time to time, without prior notice, and any such change shall be duly reflected at the time of checkout on the shopping bag page of the Platform.

26. FEEDBACK AND SUBMISSIONS

  • By submitting any feedback, suggestions, ideas, or other materials (“Views”) to Go DinDin, you acknowledge that such Views are provided voluntarily, without expectation of confidentiality or compensation, and shall become the sole and exclusive property of Go DinDin. You hereby irrevocably assign all rights, title, and interest, including intellectual property rights, in such Views to Go DinDin and waive all moral rights therein. Go DinDin may use, reproduce, modify, publish, or otherwise exploit such Views in any manner, in perpetuity, without restriction.

Access to Third-Party Sites is at your own risk, and you hereby waive any claims against Go DinDin arising from your use of such sites.
  • Use of the Services may involve third-party telecommunications carriers or service providers, who are not our contractors. Any information collected by such carriers or providers is not deemed “Personal Information” under these Terms & Conditions and is not covered herein. Go DinDin shall not be liable for any act, omission, or service failure by such carriers or providers.

29. Modification, Suspension, and Termination

  • Users acknowledge and agree that Go DinDin may modify, suspend, restrict, or discontinue the Application or any part thereof, whether to all users or specific users, at any time and without notice if such action is required by law. Go DinDin shall not be liable for any loss or damage arising from termination of subscriptions or limitations on data storage.

  • Response Times – Go DinDin and its representatives shall not be liable for any delay in responding to queries raised through calls.
  • Record of Communications – Communications via calls may be recorded or stored for quality, training, and reference purposes. Users shall have no right to access such records at any later date.
  • Prohibited Content – You shall not transmit any unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable material during such communications.

Go DinDin may assign or transfer its rights, obligations, and duties under this Agreement, or any related agreement for Go DinDin Services, to any person or entity without restriction.
